1. Scope
These Terms govern the wholesale relationship between Nutribulk SL (operating as Quamtrax B2B) and approved business partners ("Customer") for international markets, excluding Spain.
2. Approval & account
B2B access requires manual approval. Customers must provide accurate business information (legal name, VAT, contact details). We may suspend or revoke access at any time if conditions are not met.
3. Orders & pricing
Prices are available exclusively to approved Customers via the wholesale portal. We reserve the right to adjust prices. Orders are confirmed only after the Customer has acknowledged the proforma invoice and conditions.
4. Payment
Bank transfer only. Goods are shipped after payment confirmation. Late payments may incur charges as per local regulations.
5. Shipping & risk
Shipping rates and times are specified at order time. Risk of loss transfers upon delivery to the Customer or its appointed carrier.
6. Returns & defects
Returns are accepted only for manufacturing defects, notified within 14 days of delivery, and subject to inspection.
7. Selective distribution, marketplaces & resale
Quamtrax® is a registered trademark of Profitness Century SL, whose products are distributed through a selective distribution system. Distributors are admitted on the basis of objective criteria of a qualitative nature, laid down uniformly and applied in a non-discriminatory manner: storage and preservation capability for food supplements, batch and expiry-date traceability, customer service, and compliance with Regulation (EU) 1169/2011 and Spanish Royal Decree 1487/2009.
- 7.1 Resale. The Customer may not resell Quamtrax products to third parties who will themselves resell them, unless those third parties have previously been admitted in writing to the authorized distribution network.
- 7.2 Marketplaces. Selling Quamtrax products on third-party marketplaces (Amazon, eBay, Miravia, AliExpress, Temu or others) is prohibited unless expressly, specifically and in writing authorized by Nutribulk SL, granted per marketplace and per market. The Customer remains entirely free to sell through its own online store and to advertise online.
- 7.3 Traceability. The Customer shall keep batch and destination records for at least 24 months and provide them upon request by Nutribulk SL. We reserve the right to acquire units through test purchases and to trace their batch back to source.
- 7.4 Authentication. The Customer shall not remove, conceal or alter serialization or authentication codes (including Amazon Transparency), batch identifiers or expiry dates.
- 7.5 Out-of-network units. Quamtrax provides no commercial warranty or after-sales service, and accepts no responsibility for the storage, authenticity, expiry or conformity of units marketed outside its authorized network. Such units are not equivalent to those supplied by the official network.
- 7.6 Breach. Breach of this clause entitles Nutribulk SL to suspend supply and terminate the relationship with immediate effect, without prejudice to notifying the relevant platform of the verified infringements and to civil action for breach of contract and unfair competition (Spanish Act 3/1991, of 10 January).
8. Confidentiality
Pricing, conditions, and any non-public information shared during the partnership are confidential.
9. Liability
Our liability is limited to the value of the affected order. We are not liable for indirect or consequential damages.
10. Governing law & jurisdiction
These Terms are governed by Spanish law. Any disputes shall be resolved by the courts of Madrid, Spain.
